
Effective Date: March 1, 2026
These Terms of Use (“Terms”) govern your access to and use of the MyFaithVillage website, applications, directories, listings, profiles, communications tools, payment-enabled features, content, and related services (collectively, the “Platform”).
These Terms are entered into by and between you and Yetsye International LLC d/b/a MyFaithVillage (“MFV,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Acceptance of Terms
1.1. Agreement to These Terms
By accessing, browsing, registering for, listing on, purchasing through, providing services through, donating through, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies, guidelines, or supplemental terms incorporated by reference, including without limitation our Privacy Policy, Section 8 (Payments, Fees, Refunds, and Disputes), and Section 9 (Provider Terms), where applicable.
1.2. Binding Effect
These Terms constitute a binding agreement between you and MFV. If you use the Platform on behalf of a business, church, ministry, nonprofit, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes both you and that entity.
1.3. Updates to Terms
MFV may revise these Terms at any time in its sole discretion by posting an updated version on the Platform or otherwise providing notice. Unless otherwise stated, revised Terms become effective immediately upon posting.
Your continued use of the Platform after revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
1.4. Supplemental Terms
Certain features, listings, services, events, subscriptions, promotions, communications tools, payment flows, or other areas of the Platform may be subject to additional terms, rules, or policies. In the event of a conflict between these Terms and supplemental terms, the supplemental terms control only with respect to the applicable feature or service, unless expressly stated otherwise.
1.5. Electronic Acceptance
You agree that your use of the Platform, clicking “I agree,” “accept,” “continue,” “register,” “submit,” or similar buttons, or electronically submitting information constitutes your electronic signature and acceptance of these Terms to the fullest extent permitted by law.
2. Eligibility and Account Registration
2.1. General Eligibility
You may use the Platform only if you are legally capable of entering into a binding contract and are not prohibited from using the Platform under applicable law.
By using the Platform, you represent and warrant that you are not located in, ordinarily resident in, organized under the laws of, or otherwise subject to any country or region subject to comprehensive U.S. embargoes or sanctions; that you are not identified on any U.S. Government list of prohibited or restricted parties, including the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List; and that you are not owned or controlled by, or acting on behalf of, any such person or entity. You may not use the Platform for the benefit of any sanctioned or prohibited person or in violation of applicable export control or sanctions laws.
2.2. Age Requirements
The Platform is not directed to children under the age of thirteen (13), and users under 13 may not use the Platform or submit personal information through it.
Unless MFV expressly permits otherwise in writing for a specific feature, you must be at least eighteen (18) years old to create an account, act as a Provider, complete a paid transaction, or use any feature that involves posting, messaging, purchasing, booking, donating, subscribing, or receiving payment through the Platform.
If MFV permits limited use by a minor, such use must be under the supervision of a parent or legal guardian, and the parent or legal guardian agrees to be fully responsible for the minor’s actions and compliance with these Terms.
2.3. Accurate Information
You agree to provide true, current, complete, and accurate information during registration and at all other times, and to update such information promptly as needed. You may not impersonate another person or entity, create an account using false information, or conceal your identity where identification is required.
2.4. Account Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account, whether or not authorized by you. You must notify MFV immediately of any suspected or actual unauthorized use of your account or any other security breach.
2.5. Ownership of Accounts and Usernames
MFV may permit, restrict, combine, disable, reclaim, remove, or reassign accounts, usernames, profile URLs, and account identifiers in its sole discretion. You have no ownership right in a username, profile URL, or account designation.
2.6. Verification and Additional Information
MFV may require identity verification, business verification, tax information, organizational documentation, contact confirmation, or any other information it deems necessary to maintain the safety, integrity, legal compliance, or operation of the Platform.
MFV may suspend, restrict, or terminate access to the Platform or specific features if you fail to provide requested information or if MFV believes your information is false, misleading, incomplete, outdated, or associated with fraud, abuse, or elevated risk.
2.7. No Right to an Account
MFV reserves the right to approve, deny, suspend, limit, or terminate any account, profile, listing, or feature access at any time, with or without notice, for any lawful reason or no stated reason.
3. Platform Services and Role
3.1. Description of the Platform
MFV provides a technology platform that allows users to discover, search for, communicate with, and engage with independent third-party providers, organizations, ministries, sellers, professionals, service providers, event organizers, advertisers, and other users.
The Platform may include directories, listings, categories, business or ministry profiles, search tools, messaging functionality, event tools, donation functionality, payment-enabled features, subscriptions, content feeds, reviews, ratings, promotional placements, and related services.
3.2. Platform-Only Role
MFV is a platform provider only. Except where MFV expressly states otherwise in writing, MFV does not own, control, supervise, endorse, employ, recommend, inspect, verify, warrant, or guarantee any third-party user, Provider, ministry, organization, listing, event, product, service, opportunity, donation recipient, review, rating, or representation made on or through the Platform.
Any transaction, relationship, communication, dispute, booking, purchase, service engagement, donation, event participation, or off-platform arrangement is solely between the participating users, subject to these Terms and any separate agreement between them.
3.3. No Agency or Employment Relationship
Nothing in these Terms creates any agency, employment, franchise, joint venture, partnership, representative, fiduciary, or similar relationship between MFV and any user or Provider.
3.4. No Professional Advice
The Platform may contain listings, content, comments, categories, or information relating to counseling, coaching, ministry, wellness, business, education, or other topics. Such content is provided for informational and marketplace purposes only. MFV does not provide legal, tax, accounting, financial, medical, mental health, clinical, or other professional advice through the mere operation of the Platform.
3.5. Third-Party Services and Links
The Platform may integrate with or contain links to third-party websites, payment processors, maps, social platforms, software tools, plugins, embedded content, event tools, booking tools, analytics providers, and other third-party services. MFV does not control and is not responsible for any third-party service, content, product, policy, act, omission, availability, security, or terms.
3.6. Changes to the Platform
MFV may modify, suspend, discontinue, remove, restrict, or replace any aspect of the Platform, including categories, features, search results, directory visibility, profile tools, messaging tools, integrations, pricing models, content displays, or access permissions, at any time and without liability.
3.7. Availability
MFV does not guarantee that the Platform or any feature will be available at all times or free from interruption, delay, security incident, error, incompatibility, or loss.
4. User Accounts, Security, and Communications
4.1. Responsibility for Account Activity
You are solely responsible for all activities occurring under your account, profile, business page, ministry page, or listing, including content posted, messages sent, transactions initiated, settings changed, and permissions granted.
4.2. Security Obligations
You agree to maintain reasonable security over your devices, credentials, authentication methods, and email accounts associated with the Platform. You may not share your account with unauthorized persons or permit another person to impersonate you through your account.
4.3. Electronic Communications Consent
You consent to receive communications from MFV electronically, including by email, Platform notices, dashboard notices, SMS or text message where you provide a number and consent where required, push notifications, or other electronic means. These communications may include transactional notices, policy updates, security alerts, verification requests, support messages, billing notices, marketing messages where permitted, and legally required disclosures.
4.4. Records and Notice
You agree that electronic records and notices satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by law. You are responsible for maintaining a valid email address and current contact information and for regularly checking your account and communications.
Notice from MFV will be deemed given when sent to your last provided contact information or when posted to the Platform, as applicable.
4.5. Communications Monitoring
MFV may, but is not obligated to, monitor, review, screen, store, log, preserve, or disclose messages, communications, metadata, support requests, account activity, listings, reviews, and related content where MFV believes it is reasonably necessary for platform operation, support, fraud prevention, policy enforcement, legal compliance, investigation, dispute handling, safety, or protection of rights.
4.6. Marketing Preferences
Opting out of promotional messages does not prevent MFV from sending transactional, legal, security, service, or account-related communications.
4.7. Account Recovery and Access
MFV may require you to verify ownership of your account before restoring access, changing profile ownership, releasing administrative access, or making material account changes. MFV may refuse account recovery or ownership transfer requests where ownership is unclear, disputed, risky, or unsupported.
5. User Content, Platform Content, and License
5.1. User Content
“User Content” means any information, text, images, video, audio, listings, profiles, reviews, comments, feedback, ratings, event details, ministry descriptions, logos, business information, messages, submissions, and other content that you upload, post, transmit, publish, display, submit, or otherwise make available on or through the Platform.
You retain whatever ownership rights you may have in your User Content, subject to the rights you grant to MFV in these Terms.
5.2. License to MFV
By submitting or making available any User Content on or through the Platform, you grant MFV and its affiliates, service providers, successors, assigns, sublicensees, and partners a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to host, store, reproduce, copy, cache, format, adapt, modify, translate, create derivative works from, transmit, publish, display, perform, distribute, promote, market, analyze, index, and otherwise use such User Content for any lawful purpose related to operating, improving, promoting, protecting, supporting, and monetizing the Platform and MFV’s business.
This license includes the right to use your business name, ministry name, public profile name, logos, listing images, reviews, ratings, and promotional excerpts in search results, category pages, emails, social media, advertisements, and other marketing or operational materials related to the Platform.
5.3. Representations Regarding User Content
You represent and warrant that:
(a) you own or control all rights necessary to submit the User Content;
(b) your User Content is accurate and not misleading;
(c) your User Content does not violate these Terms or applicable law;
(d) your User Content does not infringe, misappropriate, or violate any third-party right; and
(e) your User Content does not contain malware, hidden code, or harmful material.
5.4. Platform Content
The Platform, including its software, structure, design, layout, arrangement, branding, trade dress, graphics, text, code, databases, compilations, categories, tags, icons, workflows, page designs, logos, trademarks, service marks, directory records, and all content created by or for MFV other than User Content (“Platform Content”), as well as the compilation, coordination, selection, arrangement, assembly, presentation, and overall organization of the Platform and its directory data, is owned by or licensed to MFV and protected by intellectual property, unfair competition, and other applicable laws.
Except as expressly permitted in writing, you may not copy, reproduce, republish, distribute, scrape, extract, frame, mirror, modify, create derivative works from, sell, license, reverse engineer, or exploit any Platform Content or Platform functionality.
5.5. Feedback
If you provide suggestions, ideas, enhancement requests, improvements, recommendations, or other feedback about the Platform (“Feedback”), you grant MFV a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, implement, modify, commercialize, and exploit that Feedback without restriction, notice, compensation, or attribution.
5.6. Public Profiles and Listings
You acknowledge that profile information, listings, reviews, ratings, ministry descriptions, business names, and similar content that you choose to publish through public-facing features may be visible to the public, searchable, indexed by search engines, copied by users, and retained in cached or archived form by third parties. MFV is not responsible for third-party copying, indexing, retention, or republication of public-facing content.
5.7. Content Removal and Preservation
MFV may remove, edit, refuse, de-rank, suppress, archive, preserve, or disable access to any User Content at any time, with or without notice, for any lawful reason or no stated reason.
5.8. DMCA Notice and Takedown Policy
MFV respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (“DMCA”). If you believe that content on the Platform infringes your copyright, you must send MFV a written DMCA notice to MFV’s designated Copyright Agent at: Copyright Agent, MyFaithVillage, Yetsye International LLC, 470 DACULA RD #713, DACULA, GA 30019, support@myfaithvillage.com.
Your DMCA notice must include, at a minimum: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed copyright; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple works on the Platform are covered by a single notice, a representative list of such works; (c) identification of the allegedly infringing material and information reasonably sufficient to permit MFV to locate the material on the Platform; (d) information reasonably sufficient to permit MFV to contact you, such as your name, mailing address, telephone number, and email address; (e) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the allegedly infringed copyright.
Upon receipt of a facially compliant DMCA notice, MFV may remove or disable access to the allegedly infringing material, notify the user who posted the material, and take any other action MFV deems appropriate under applicable law, these Terms, or Platform policy.
If you believe that material you posted was removed or disabled by mistake or misidentification, you may submit a written counter-notice to MFV’s designated Copyright Agent. Your counter-notice must include: (a) your physical or electronic signature; (b) identification of the material that has been removed or to which access has been disabled and the location where the material appeared before it was removed or disabled; (c) a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; (d) your name, mailing address, telephone number, and email address; and (e) a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or if your address is outside the United States, for any judicial district in which MFV may be found, and that you will accept service of process from the person who submitted the original DMCA notice or that person’s agent.
If MFV receives a facially compliant counter-notice, MFV may send a copy to the original complaining party and may restore the removed material or cease disabling access to it not less than ten (10) and not more than fourteen (14) business days later, unless the original complaining party notifies MFV that it has filed an action seeking a court order to restrain the allegedly infringing activity.
MFV may terminate, suspend, or restrict accounts of repeat infringers, users associated with repeated or abusive copyright complaints, or users who otherwise misuse the Platform in connection with intellectual property rights. MFV also reserves the right to remove or disable access to content alleged to infringe other intellectual property or proprietary rights.
Any person who knowingly materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages under applicable law.
6. Acceptable Use and Prohibited Conduct
6.1. Lawful Use Only
You may use the Platform only for lawful purposes and only in accordance with these Terms.
6.2. General Prohibited Conduct
You may not, directly or indirectly:
(a) violate any law, regulation, ordinance, court order, or third-party right;
(b) impersonate any person or entity or misrepresent your identity, affiliation, qualifications, authority, location, or offerings;
(c) provide false, misleading, deceptive, manipulated, or incomplete information to MFV or other users;
(d) harass, threaten, stalk, intimidate, abuse, exploit, or defame any user or third party;
(e) engage in fraud, phishing, spam, scams, deception, or social engineering;
(f) upload or transmit malware, spyware, harmful code, or malicious scripts;
(g) interfere with or disrupt the Platform, servers, networks, databases, or security features;
(h) attempt to gain unauthorized access to accounts, data, systems, or non-public areas of the Platform;
(i) scrape, harvest, crawl, spider, index, frame, mirror, or extract Platform content, data, reviews, listings, contact information, or user information without MFV’s express written consent;
(j) use bots, automation, scripts, or bulk collection methods except as expressly authorized by MFV;
(k) use the Platform to build, train, populate, benchmark, or improve a competing directory, marketplace, dataset, AI model, database, or service;
(l) circumvent, disable, or interfere with usage limits, security controls, rankings, fees, access restrictions, or anti-fraud measures;
(m) use the Platform in a manner that imposes unreasonable load, degrades service, or harms the user experience;
(n) collect, store, sell, share, or exploit another user’s personal information without lawful basis and appropriate consent;
(o) post or transmit unlawful, infringing, hateful, sexually exploitative, violent, obscene, or otherwise prohibited material;
(p) use the Platform to advertise or facilitate prohibited goods, prohibited services, unlawful fundraising, deceptive opportunities, or unlawful transactions;
(q) evade or attempt to evade MFV fees, payment flows, verification requirements, or Platform rules;
(r) manipulate search rankings, listing placement, review visibility, or traffic metrics;
(s) create fake accounts, coordinated accounts, sham listings, or misleading profiles;
(t) engage in sham transactions, self-dealing transactions, circular payments, or unauthorized testing activity;
(u) use the Platform for unauthorized mass marketing, lead harvesting, or unsolicited outreach;
(v) interfere with another user’s use or enjoyment of the Platform; or
(w) encourage, assist, or enable any other person to do any of the foregoing.
6.3. Reviews, Testimonials, and Ratings
Any review, rating, testimonial, endorsement, or comment you submit must reflect your honest opinion or actual experience and must not be false, misleading, manipulated, purchased, fabricated, or submitted under a false identity.
You may not:
(a) submit a review for a transaction or experience you did not actually have;
(b) offer, request, accept, or provide compensation in exchange for a false, manipulated, or undisclosed review;
(c) post reviews on behalf of others without authorization and proper disclosure;
(d) threaten reviews to coerce refunds, discounts, or other treatment; or
(e) suppress, alter, or misrepresent review activity in a deceptive manner.
MFV may remove, withhold, investigate, or label reviews or ratings in its sole discretion.
6.4. Off-Platform Circumvention
Where MFV provides transaction-enabled functionality, you may not use the Platform to identify, solicit, or divert users off-platform for the purpose of avoiding MFV fees, payment systems, policies, monitoring, or enforcement, where prohibited by MFV policy or the applicable feature’s terms.
6.5. Enforcement Rights
MFV may investigate suspected violations of this Section 6 and may take any action it deems appropriate, including warnings, content removal, listing removal, account suspension, feature restriction, transaction cancellation, data preservation, law-enforcement referral, civil action, or permanent termination.
7. Listings, User Interactions, Reviews, and Third-Party Transactions
7.1. Listings and Directory Information
The Platform may contain listings, profiles, advertisements, recommendations, categories, tags, rankings, featured placements, reviews, ratings, and other information supplied by users, Providers, third parties, or automated systems. MFV does not warrant that any listing or directory information is accurate, complete, current, lawful, safe, reliable, or suitable for your needs.
7.2. No Endorsement or Screening Obligation
MFV does not guarantee, certify, endorse, background-check, credential-verify, screen, evaluate, inspect, supervise, or monitor any user, Provider, organization, ministry, event, service, product, review, or transaction unless MFV expressly states otherwise in writing for a specific program.
Any badges, categories, labels, “featured” placement, rankings, or profile displays are for informational, promotional, or operational purposes only and do not constitute an endorsement, guarantee, or representation by MFV.
7.3. Due Diligence
You are solely responsible for evaluating whether a listing, Provider, organization, ministry, event, opportunity, review, or transaction is appropriate for you. You are solely responsible for conducting any due diligence, verification, reference check, credential review, legal review, or safety assessment that you consider necessary before interacting with another user or entering into any transaction or relationship.
7.4. User Interactions at Your Own Risk; ASSUMPTION OF RISK FOR IN-PERSON MEETUPS, LOCAL EXCHANGES, AND OFFLINE INTERACTIONS
All interactions between users, including messages, calls, meetings, bookings, service arrangements, event participation, donations, purchases, local exchanges, deliveries, and off-platform communications, are at your own risk. MFV does not screen or supervise users in real time and is not responsible for user conduct, statements, omissions, acts, injuries, damages, losses, disappointment, nonperformance, non-delivery, criminal conduct, or disputes arising from user interactions.
YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ARISING OUT OF OR RELATED TO ANY IN-PERSON MEETING, OFFLINE INTERACTION, LOCAL PICKUP OR DELIVERY, EVENT ATTENDANCE, HOME OR BUSINESS VISIT, TRANSACTION, OR OTHER ENCOUNTER WITH ANOTHER USER, PROVIDER, CUSTOMER, DONOR, ORGANIZER, OR THIRD PARTY, INCLUDING THE RISK OF BODILY INJURY, ILLNESS, DEATH, EMOTIONAL DISTRESS, HARASSMENT, ASSAULT, THEFT, FRAUD, PROPERTY DAMAGE, AND OTHER LOSSES OR HARM. TO THE FULLEST EXTENT PERMITTED BY LAW, MFV DISCLAIMS RESPONSIBILITY FOR ANY SUCH HARM, WHETHER ARISING FROM THE CONDUCT OF ANOTHER USER, A THIRD PARTY, OR CIRCUMSTANCES SURROUNDING AN OFFLINE ENCOUNTER FACILITATED THROUGH THE PLATFORM.
You are solely responsible for using appropriate judgment, precautions, and safety measures before, during, and after any interaction with another user, including verifying identities, protecting personal information, selecting safe meeting locations, and involving law enforcement or emergency services where appropriate.
7.5. Third-Party Transactions
Any purchase, service engagement, donation, event registration, subscription, sponsorship, or other transaction involving a third-party Provider is solely between the participating parties, subject to Sections 8 and 9 where applicable.
MFV is not a party to third-party transactions except as expressly stated with respect to platform functionality, and MFV does not guarantee payment, fulfillment, performance, delivery, availability, legality, safety, or refund outcomes.
7.6. Reviews and User Contributions
MFV may allow users to post reviews, ratings, endorsements, comments, testimonials, and similar contributions. MFV does not guarantee the accuracy or fairness of any review or rating and may, but is not obligated to, moderate, investigate, suppress, remove, re-order, or decline to publish any review or rating.
7.7. Off-Platform Arrangements
If you choose to communicate with or transact with another user outside the Platform, you do so entirely at your own risk. MFV is not responsible for off-platform conduct, payments, promises, side agreements, data sharing, or disputes, even if the relationship originated through the Platform.
7.8. MFV’s Right to Remove or Restrict Listings
MFV may remove, reject, edit, suppress, de-rank, pause, archive, or disable any listing, profile, review, rating, event, category placement, or directory entry at any time, with or without notice, for any lawful reason or no stated reason.
7.9. Reservation of Records
MFV may retain records relating to listings, transactions, disputes, messages, reviews, complaints, moderation actions, and account activity for legal, compliance, operational, safety, fraud-prevention, archival, evidentiary, analytical, or business purposes.
7.10. No Guarantee of Results
MFV does not guarantee that use of the Platform will result in bookings, customers, business opportunities, donations, ministry growth, event attendance, exposure, leads, conversions, satisfaction, or any other specific result.
8. Payments, Fees, Refunds, and Disputes
8.1. Scope
This Section 8 governs all paid transactions conducted through the Platform, including without limitation purchases, service bookings, event registrations, subscriptions, donations, and other paid transactions facilitated through the Platform.
By completing or participating in a paid transaction through the Platform, you agree to this Section 8, together with these Terms, our Privacy Policy, and any additional checkout terms or disclosures presented in connection with the transaction.
8.2. MFV’s Role as Platform Only
MFV is a technology platform that connects customers, members, donors, and other users with independent third-party sellers, service providers, ministries, organizers, professionals, and other providers (“Providers”).
MFV is not the seller, provider, merchant of record, escrow agent, bank, money transmitter, insurer, guarantor, fulfillment provider, warehouse, or shipper for third-party transactions conducted through the Platform.
MFV does not receive, hold, control, transmit, settle, or manage customer payment funds or Provider payout funds. MFV’s sole financial role in an applicable transaction is to receive its disclosed platform fee through Stripe’s application fee mechanism.
All transactions for goods, services, events, donations, subscriptions, and other offerings available through the Platform are solely between the customer and the applicable Provider.
8.3. Payment Processor
Payment processing for transactions on the Platform is provided by Stripe or another third-party payment processor designated by MFV. By using paid features of the Platform, you authorize MFV to facilitate payment processing through Stripe and to share with Stripe any information reasonably necessary for account onboarding, payment processing, identity verification, fraud prevention, compliance review, refunds, disputes, chargebacks, payouts, and related administration.
8.4. Provider Accounts and Onboarding
To offer paid goods or services through the Platform or receive payouts, a Provider must maintain a valid connected payment account and complete all onboarding, identity verification, tax, business, and compliance requirements requested by Stripe or another designated payment processor.
MFV may deny, suspend, restrict, or terminate a Provider’s access to paid transaction functionality if the Provider fails to complete required onboarding, provides inaccurate information, violates these Terms, or presents fraud, legal, operational, reputational, or compliance risk.
8.5. Platform Fee
MFV charges a 5% platform fee on applicable transactions processed through the Platform, unless a different fee is expressly disclosed by MFV in writing or at checkout.
This platform fee is collected automatically through the payment processor’s application fee functionality and paid directly to MFV. The platform fee is separate from any Provider price, payment processor fee, tax, shipping charge, subscription amount, booking charge, donation amount, or other charge disclosed in connection with the transaction.
8.6. Customer Authorization to Charge
By submitting payment information and completing a transaction through the Platform, you authorize the applicable payment processor and Provider, through the Platform’s payment flow, to charge your selected payment method for the full amount due, including the Provider’s price, the MFV platform fee where applicable, taxes where applicable, and any additional disclosed fees or charges.
You represent and warrant that:
(a) you are authorized to use the payment method you provide;
(b) all billing information you submit is current, complete, and accurate; and
(c) your use of the payment method does not violate any law, rule, or contractual restriction.
8.7. Provider Responsibility for Listings, Pricing, and Fulfillment
Each Provider is solely responsible for its own listings, pricing, descriptions, disclosures, scheduling, availability, performance, fulfillment, customer communications, cancellations, refunds, returns, legal compliance, and all other aspects of its goods, services, subscriptions, events, ministries, or other offerings.
MFV does not control and does not guarantee the quality, safety, legality, availability, accuracy, delivery, timeliness, suitability, or outcome of any Provider offering.
8.8. Refunds, Returns, Cancellations, and Rescheduling
Refunds, returns, cancellations, rescheduling, credits, and adjustments relating to a Provider’s goods or services are governed by the applicable Provider’s policies and applicable law.
Unless MFV expressly states otherwise in writing:
(a) MFV is not obligated to issue refunds on behalf of any Provider;
(b) MFV does not guarantee that any transaction is refundable; and
(c) users are responsible for reviewing the applicable Provider’s policies before completing a transaction.
MFV may, but is not required to, assist with administrative coordination of refund requests or transaction issues. Any such assistance does not make MFV a party to the underlying transaction or create any obligation for MFV to fund, approve, or guarantee a refund.
8.9. Platform Fee Refund Policy
Except where required by applicable law, expressly stated by MFV at checkout, or determined by MFV in its sole discretion, MFV’s 5% platform fee is non-refundable.
MFV reserves the right, but not the obligation, to refund all or part of its platform fee in circumstances including, without limitation, duplicate charges, fraud, technical error, unauthorized transactions, or other situations in which MFV determines that a fee adjustment is appropriate.
Any voluntary refund of a platform fee in one instance does not obligate MFV to provide the same or similar refund in any other instance.
8.10. Chargebacks and Payment Disputes
If a customer wishes to dispute a payment transaction, the customer must contact their card issuer, bank, or other financial institution.
MFV is not a bank, card issuer, or dispute adjudicator and does not determine the outcome of chargebacks or card network disputes. Payment disputes are handled through the applicable financial institutions and payment processor processes.
MFV may cooperate with Stripe, Providers, banks, law enforcement, regulators, and other authorized parties in connection with fraud reviews, payment investigations, chargebacks, disputes, and related matters, including by providing records, communications, metadata, and other relevant information.
8.11. Provider Responsibility for Disputes and Losses
Each Provider is solely responsible for its own transactions and for any customer complaints, refund demands, service disputes, non-delivery claims, product issues, chargebacks, reversals, penalties, losses, or liabilities arising from the Provider’s conduct, content, listings, offerings, representations, performance, or non-performance.
To the fullest extent permitted by law, MFV shall not be liable for losses arising from or related to Provider disputes, chargebacks, customer claims, or the Provider’s failure to fulfill its obligations.
8.12. Taxes
Providers are solely responsible for determining, collecting, reporting, and remitting all taxes, duties, levies, fees, withholdings, and similar governmental assessments arising from their use of the Platform and their transactions, except to the extent MFV is expressly required by law to do otherwise.
Customers are solely responsible for any taxes or fees applicable to their purchases or transactions unless otherwise expressly stated at checkout.
MFV may collect tax-related information, require tax forms, or report transaction information to tax authorities as required by law.
8.13. Donations and Ministry Transactions
If the Platform permits donations, giving, sponsorships, fundraising contributions, tithes, offerings, or similar payments, those transactions are made to the applicable recipient identified through the Platform and not to MFV, unless MFV expressly states otherwise.
MFV does not guarantee that any donation or contribution is tax-deductible. Each donor is solely responsible for consulting their own tax advisor regarding tax treatment, deductibility, and substantiation requirements.
Each ministry, church, nonprofit, organizer, or other recipient is solely responsible for its own legal compliance, charitable solicitation compliance, receipting practices, use of funds, and related obligations.
8.14. Payment Holds, Restrictions, and Account Actions
MFV reserves the right to suspend, restrict, delay, remove, limit, or terminate access to paid transaction features, listings, or accounts where MFV reasonably believes that a user or Provider is engaged in fraud, unlawful conduct, policy violations, excessive disputes, misuse of the Platform, suspicious activity, or conduct that creates legal, reputational, operational, or financial risk.
MFV may also take such action where required to comply with law, court order, payment processor requirements, card network rules, or government request.
8.15. No Warranty Regarding Transactions
MFV makes no representation or warranty that any transaction will be completed, authorized, paid, delivered, fulfilled, accepted, refunded, dispute-free, uninterrupted, or error-free.
All transactions conducted through the Platform are undertaken at the user’s own risk, subject to these Terms and the terms of the applicable Provider and payment processor.
8.16. Limitation of Liability for Payment Matters
To the fullest extent permitted by law, MFV shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, loss of data, or business interruption arising out of or related to:
(a) payment processing;
(b) declined or failed payments;
(c) chargebacks, disputes, reversals, or fraud;
(d) Provider conduct or non-performance;
(e) customer conduct or misuse;
(f) payout delays or restrictions; or
(g) third-party payment processor failures, outages, or actions.
To the fullest extent permitted by law, MFV’s total liability for any payment-related claim shall not exceed the amount of the MFV platform fee actually received by MFV for the specific transaction giving rise to the claim.
8.17. Indemnification for Payment-Related Claims
You agree to defend, indemnify, and hold harmless MFV and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, disputes, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
(a) your use of the Platform;
(b) your transactions with other users;
(c) your listings, goods, services, events, subscriptions, donations, or other offerings;
(d) your violation of this Section 8 or any other part of these Terms;
(e) your fraud, negligence, misconduct, or misrepresentation; or
(f) your violation of any applicable law, regulation, payment rule, or third-party right.
9. Provider Terms
9.1. Applicability
This Section 9 applies to any user who lists, advertises, offers, sells, books, promotes, receives payments for, or otherwise provides goods, services, events, subscriptions, ministry-related offerings, donations, sponsorship opportunities, or other offerings through the Platform (each, a “Provider”).
By registering as a Provider, creating or maintaining a Provider profile, publishing a listing, accepting a booking, receiving a payment, or otherwise using the Platform as a Provider, you agree to be bound by this Section 9, these Terms, Section 8, our Privacy Policy, and any additional policies, guidelines, onboarding terms, or operational requirements that MFV may provide from time to time.
9.2. Independent Provider Status
You acknowledge and agree that you are an independent third party and not an employee, agent, partner, joint venturer, franchisee, representative, or legal affiliate of MFV.
You are solely responsible for your own business operations, professional judgment, ministry activities, customer interactions, performance, fulfillment, legal compliance, taxes, licenses, permits, insurance, advertising claims, and all other aspects of your offerings and activities on or through the Platform.
9.3. Provider Account Eligibility
To act as a Provider on the Platform, you must:
(a) be at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater;
(b) have the legal authority to enter into binding contracts;
(c) provide true, current, complete, and accurate registration, identity, business, tax, and contact information;
(d) maintain any licenses, certifications, authorizations, insurance, or registrations required for your offerings; and
(e) comply with these Terms, all applicable laws, and all Platform policies.
9.4. Stripe Connected Account Requirement
To offer paid goods or services or receive payouts through the Platform, you must establish and maintain a valid connected payment account with Stripe or another payment processor designated by MFV and complete all required onboarding, verification, compliance, and tax procedures.
You authorize MFV to facilitate your onboarding and to share with Stripe or the applicable processor any information reasonably necessary for identity verification, fraud prevention, payment processing, compliance review, account administration, disputes, refunds, chargebacks, and payouts.
You acknowledge that MFV does not control a processor’s approval, verification, account restrictions, reserve decisions, payout timing, or risk determinations.
9.5. Provider Responsibility for Listings and Content
You are solely responsible for all listings, service descriptions, pricing, event details, ministry descriptions, donation descriptions, subscription terms, photos, videos, logos, claims, disclosures, qualifications, contact information, and all other content you publish or make available on the Platform (“Provider Content”).
You represent and warrant that your Provider Content:
(a) is truthful, accurate, current, and not misleading;
(b) does not infringe, misappropriate, or violate any third-party right;
(c) complies with all applicable laws, regulations, and professional standards;
(d) includes all disclosures necessary to avoid deception or confusion; and
(e) does not contain prohibited, fraudulent, harmful, defamatory, unlawful, abusive, or deceptive material.
MFV may remove, edit, restrict, refuse, or disable any Provider Content at any time, with or without notice.
9.6. Provider Responsibility for Offers, Fulfillment, and Customer Experience
You are solely responsible for:
(a) setting and honoring your prices, schedules, availability, and service terms;
(b) fulfilling your goods, services, events, subscriptions, or other offerings as described;
(c) delivering products or services in a timely, lawful, safe, and professional manner;
(d) maintaining appropriate customer communication;
(e) resolving customer issues arising from your offerings; and
(f) complying with all consumer protection, advertising, refund, and disclosure laws applicable to your activities.
9.7. Refunds, Cancellations, and Customer Policies
You are solely responsible for establishing, communicating, and honoring your refund, cancellation, return, rescheduling, replacement, and no-show policies, subject to applicable law and Platform requirements.
Your policies must be clearly disclosed before a customer completes a transaction and must not be deceptive, unfair, unlawful, or inconsistent with your actual practices.
9.8. Fees and Platform Charges
By using the Platform as a Provider, you authorize MFV and the applicable payment processor to assess and collect the fees disclosed in these Terms or otherwise disclosed to you, including MFV’s 5% platform fee where applicable.
You are solely responsible for understanding the fees that apply to your use of the Platform and for reviewing any processor-imposed fees, dispute fees, payout timing rules, reserve policies, or account restrictions that may affect your funds.
9.9. Chargebacks, Disputes, and Loss Responsibility
You are solely responsible for disputes, chargebacks, reversals, customer complaints, refund demands, non-delivery claims, service complaints, misrepresentation claims, and all other losses arising from your offerings, conduct, listings, or customer interactions.
You authorize MFV to cooperate with Stripe, banks, card networks, law enforcement, regulators, and other authorized parties in connection with any dispute, fraud review, investigation, refund issue, chargeback, or claim relating to your account or transactions.
9.10. Taxes, Licenses, and Legal Compliance
You are solely responsible for:
(a) determining whether taxes apply to your offerings;
(b) collecting, reporting, and remitting all applicable taxes, duties, levies, fees, and assessments;
(c) obtaining and maintaining all licenses, permits, certifications, registrations, and insurance required for your activities;
(d) complying with all laws, regulations, ordinances, and professional rules applicable to your offerings; and
(e) maintaining records necessary to demonstrate your compliance.
If you offer donations, ministry-related fundraising, or charitable activities, you are solely responsible for all solicitation, registration, disclosure, receipting, tax, and charitable compliance obligations applicable to your activities.
9.11. Prohibited Provider Conduct
As a Provider, you may not:
(a) offer unlawful, fraudulent, misleading, infringing, unsafe, or prohibited goods or services;
(b) misrepresent your identity, qualifications, affiliation, pricing, availability, experience, or results;
(c) evade MFV fees or circumvent the Platform for the purpose of avoiding applicable charges where prohibited by Platform policy;
(d) process sham, test, circular, self-dealing, or unauthorized transactions;
(e) use the Platform in a way that violates payment processor rules, sanctions laws, card network rules, or consumer protection laws;
(f) harass, exploit, deceive, or abuse customers or other users; or
(g) engage in conduct that creates fraud, legal, reputational, operational, or financial risk for MFV or its users.
9.12. Provider Representations and Warranties
You represent and warrant that:
(a) all information you provide to MFV and to customers is true, accurate, and complete;
(b) you have all rights, permissions, licenses, and authority necessary to offer your goods, services, events, subscriptions, donations, or other offerings;
(c) your offerings comply with all applicable laws and industry requirements;
(d) your Provider Content is not false, misleading, deceptive, infringing, defamatory, or unlawful;
(e) your transactions are genuine and authorized; and
(f) your use of the Platform will not violate these Terms or any rights of any third party.
9.13. MFV’s Rights to Review, Restrict, Suspend, or Remove
MFV may, in its sole discretion and at any time, with or without notice:
(a) review Provider accounts, listings, and transactions;
(b) request additional information or documentation;
(c) refuse, remove, edit, or disable any listing or Provider Content;
(d) suspend or restrict access to Provider tools or paid transaction features;
(e) cancel or limit listings or offerings; and
(f) terminate a Provider’s use of the Platform.
9.14. No Endorsement or Guarantee by MFV
MFV does not endorse, guarantee, certify, insure, supervise, or verify the quality, legality, safety, credentials, effectiveness, delivery, or suitability of any Provider’s offerings except to the limited extent that MFV may review information for Platform administration purposes.
Any badges, categories, placement, visibility, search ranking, featured status, or profile labels on the Platform are for informational or operational purposes only and do not constitute an endorsement, warranty, or guarantee by MFV.
9.15. Indemnification by Providers
In addition to any other indemnification obligations under these Terms, you agree to defend, indemnify, and hold harmless MFV and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, disputes, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
(a) your offerings, listings, or Provider Content;
(b) your transactions with customers or other users;
(c) your refunds, cancellations, service failures, product defects, or non-performance;
(d) your violation of these Terms or applicable law;
(e) your taxes, licenses, permits, charitable compliance, or regulatory obligations;
(f) your fraud, negligence, misconduct, deceptive practices, or misrepresentations; or
(g) any claim that your offerings, content, or conduct caused harm, loss, infringement, or legal liability.
9.16. Survival
The provisions of this Section 9 that by their nature should survive termination shall survive, including without limitation provisions relating to fees, disputes, chargebacks, indemnification, tax obligations, representations and warranties, limitation of liability, and cooperation obligations.
10. Disclaimers
10.1. Platform Provided “As Is” and “As Available”
The Platform and all content, listings, directories, features, search functions, reviews, ratings, messaging tools, profile pages, event tools, payment-enabled features, and related services are provided on an “as is,” “as available,” and “with all faults” basis.
To the fullest extent permitted by law, MFV disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, compatibility, security, performance, or results.
10.2. No Warranty as to Listings or Users
MFV does not warrant, guarantee, or represent that any listing, profile, Provider, ministry, event, opportunity, product, service, donation recipient, review, rating, or user-generated content is accurate, complete, current, lawful, safe, reliable, suitable, available, or free from fraud, misrepresentation, or misconduct.
10.3. No Warranty as to Transactions or Outcomes
MFV does not warrant or guarantee that any booking, sale, donation, subscription, event registration, service engagement, user contact, or other transaction will be completed, honored, fulfilled, delivered, accepted, refunded, dispute-free, profitable, successful, or satisfactory.
MFV does not guarantee leads, traffic, rankings, conversions, customer interest, ministry growth, donations, business opportunities, event attendance, user engagement, or any other specific result from use of the Platform.
10.4. No Professional Advice
The Platform may include content relating to counseling, coaching, ministry, wellness, education, business, or similar topics. Such content is provided for informational or marketplace purposes only and does not constitute legal, medical, mental health, clinical, tax, accounting, financial, or other professional advice by MFV.
10.5. No Warranty of Continuous Operation
MFV does not warrant that the Platform will be uninterrupted, error-free, secure, virus-free, timely, or compatible with your devices, browser, software, payment method, or third-party integrations.
10.6. Third-Party Services Disclaimer
MFV is not responsible for any third-party website, payment processor, plugin, embedded service, map, communication service, analytics provider, social media service, hosting provider, or other third-party tool or service linked to, integrated with, or used in connection with the Platform.
10.7. Jurisdictional Limitation
Some jurisdictions do not allow the exclusion of certain warranties, so some of the disclaimers in this Section 10 may not apply to you to the extent prohibited by applicable law. In such jurisdictions, the disclaimers apply to the fullest extent permitted by law.
11. Limitation of Liability
11.1. Exclusion of Certain Damages
To the fullest extent permitted by law, MFV and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, loss of revenue, loss of data, loss of goodwill, loss of savings, loss of business opportunity, reputational harm, or business interruption arising out of or related to:
(a) your access to or use of, or inability to access or use, the Platform;
(b) any listing, profile, Provider, user, review, rating, event, opportunity, or transaction;
(c) fraud, theft, misrepresentation, misconduct, non-performance, non-delivery, or unlawful conduct by any user or third party;
(d) payment failures, payout delays, refunds, chargebacks, disputes, or processor actions;
(e) content errors, omissions, inaccuracies, deletion, corruption, loss, or unauthorized access;
(f) Platform outages, downtime, bugs, malware, security incidents, interruptions, or failures;
(g) account suspension, termination, de-ranking, content removal, or moderation decisions; or
(h) any third-party service, software, website, or integration.
11.2. Aggregate Liability Cap
To the fullest extent permitted by law, MFV’s total aggregate liability arising out of or related to these Terms or the Platform shall not exceed the greater of:
(a) the total amount of platform fees actually received by MFV from you, if any, during the three (3) months immediately preceding the event giving rise to the claim; or
(b) One Hundred U.S. Dollars (US $100.00).
If the claim relates to a specific transaction, MFV’s liability shall in no event exceed the amount of the platform fee actually received by MFV for that transaction.
11.3. Basis of the Bargain
You acknowledge and agree that the disclaimers and limitations of liability in these Terms are a material part of the agreement between you and MFV, that MFV would not make the Platform available on the same terms without them, and that they apply even if any limited remedy fails of its essential purpose.
11.4. Claims Period
To the fullest extent permitted by law, any claim or cause of action arising out of or related to the Platform or these Terms must be brought within one (1) year after the claim arises, or such claim is permanently barred, except where prohibited by law.
11.5. Jurisdictional Limitation
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, MFV’s liability shall be limited to the fullest extent permitted by law.
12. Indemnification
12.1. General Indemnity
You agree to defend, indemnify, and hold harmless MFV and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or related to:
(a) your access to or use of the Platform;
(b) your account, profile, listings, Provider Content, User Content, reviews, ratings, messages, events, donations, subscriptions, products, services, or other offerings;
(c) your transactions, communications, agreements, or disputes with other users or third parties;
(d) your violation of these Terms, any incorporated policy, or applicable law;
(e) your infringement or violation of any intellectual property, privacy, publicity, contract, consumer-protection, or other right of any person or entity;
(f) your fraud, negligence, misconduct, deceptive practices, misrepresentation, or unlawful acts; or
(g) taxes, licenses, permits, regulatory duties, refunds, chargebacks, product defects, service failures, or non-performance arising from your activities.
12.2. Defense Control
MFV reserves the right, at its own option and expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with MFV in the defense or settlement of such matter. You may not settle any claim that imposes liability, admission, injunctive relief, or other obligation on MFV without MFV’s prior written consent.
12.3. Continuing Obligation
Your indemnification obligations survive suspension, termination, account closure, and your discontinuation of use of the Platform.
12.4. Release of MFV for User and Third-Party Disputes
To the fullest extent permitted by law, you release MFV and its affiliates, owners, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, demands, causes of action, damages, losses, liabilities, costs, and expenses, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or related to any dispute, interaction, communication, transaction, booking, donation, event, in-person meeting, local exchange, off-platform arrangement, or other dealing between you and any user, Provider, organization, ministry, recipient, donor, attendee, customer, or third party, except to the extent caused by MFV’s own gross negligence, willful misconduct, or obligations that cannot be waived under applicable law.
12.5. California Civil Code Section 1542 Waiver
If you are a California resident, you expressly waive California Civil Code Section 1542 and any similar law of any jurisdiction. Section 1542 provides: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
You acknowledge that you have read and understand this waiver and that you intend for it to apply to the fullest extent permitted by law to the release set forth in these Terms.
13. Suspension and Termination
13.1. MFV’s Right to Suspend or Terminate
MFV may, in its sole discretion and at any time, with or without notice, suspend, restrict, limit, de-rank, disable, remove, or terminate your account, listings, content, access to the Platform, access to specific features, or ability to transact through the Platform for any lawful reason or no stated reason, including without limitation:
(a) suspected fraud, abuse, spam, or unlawful activity;
(b) violation of these Terms or any incorporated policy;
(c) payment failure, excessive disputes, chargebacks, or risk concerns;
(d) false, misleading, or outdated information;
(e) complaints, reputational concerns, or safety concerns;
(f) inactivity;
(g) third-party processor, legal, regulatory, or law-enforcement request;
(h) technical, operational, or security concerns; or
(i) any conduct MFV believes may expose MFV, its users, or third parties to harm, liability, or risk.
13.2. Removal of Content and Listings
Upon suspension or termination, MFV may remove, disable, suppress, archive, preserve, or refuse to display any account, listing, review, event, directory entry, or other content associated with you.
13.3. No Refund Obligation
Except where required by law or expressly stated by MFV in writing, MFV has no obligation to provide refunds, credits, restoration, compensation, or reinstatement in connection with any suspension, removal, restriction, downtime, moderation decision, or termination.
13.4. User-Initiated Termination
You may stop using the Platform at any time. If you wish to close an account, you must follow MFV’s account closure procedures, if any. Termination or closure does not relieve you of obligations incurred before the effective date of termination.
13.5. Survival
Any provision of these Terms that by its nature should survive suspension or termination shall survive, including without limitation provisions relating to ownership, licenses, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, payment obligations, record retention, and survival.
14. Governing Law, Dispute Resolution, Arbitration, and Class Action Waiver
14.1. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the relationship between you and MFV shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles, except to the extent preempted by federal law.
14.2. Informal Resolution First
Before initiating arbitration or court proceedings, you and MFV agree to first attempt to resolve any dispute informally. A party intending to bring a claim must first send written notice describing the dispute, the facts supporting the claim, the requested relief, and the sender’s contact information.
The parties agree to attempt good-faith informal resolution for at least thirty (30) days after receipt of such notice before commencing arbitration or litigation, unless injunctive or emergency relief is sought.
14.3. Binding Individual Arbitration
Except for the excluded disputes described below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any transaction, your account, your use of the Platform, or the relationship between you and MFV shall be resolved exclusively by final and binding individual arbitration, and not in court, under the Federal Arbitration Act.
The arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable consumer or commercial arbitration rules, as applicable, unless the parties agree otherwise in writing.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
14.4. Arbitration Procedure and Venue
Unless otherwise required by applicable arbitration rules or law:
(a) the arbitration shall be conducted by a single arbitrator;
(b) the arbitration shall take place in Gwinnett County, Georgia, or, if permitted by the applicable rules, by remote proceedings, written submissions, or in the county of your residence if required by applicable consumer law;
(c) the arbitration shall be conducted in English; and
(d) the arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, except where applicable law provides otherwise.
14.5. Excluded Disputes
Notwithstanding the foregoing, the following disputes may be brought in a court of competent jurisdiction:
(a) claims that qualify for small claims court, if brought on an individual basis;
(b) claims by MFV for injunctive or equitable relief relating to actual or threatened misuse of the Platform, intellectual property infringement, unauthorized access, data misuse, fee evasion, scraping, spam, fraud, or other harmful conduct;
(c) claims relating to the enforcement or validity of MFV’s intellectual property rights; and
(d) any matter that applicable law does not permit to be subject to arbitration.
14.6. Class Action Waiver
To the fullest extent permitted by law, you and MFV agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, class member, private attorney general, or representative in any purported class, collective, coordinated, consolidated, mass, or representative proceeding.
Unless both you and MFV agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims, may not preside over any class or representative proceeding, and may not award relief on a class-wide or representative basis.
14.7. Jury Trial Waiver
To the fullest extent permitted by law, and for any dispute not subject to arbitration, you and MFV knowingly and voluntarily waive any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to these Terms or the Platform.
14.8. Arbitration Opt-Out
You may opt out of this arbitration provision by sending written notice to MFV within thirty (30) days of first accepting these Terms. Your opt-out notice must include your full name, account email address, username if applicable, mailing address, and a clear statement that you wish to opt out of arbitration.

If you validly opt out, this arbitration provision will not apply to you, but the remainder of these Terms will continue to apply.
14.9. Severability of Arbitration Provision
If any part of this Section 14 is found unenforceable, that part shall be severed and the remainder shall remain in effect to the fullest extent permitted by law, except that if the class action waiver in Section 14.6 is found unenforceable as to a particular claim and that determination becomes final after appeal, then the applicable claim shall proceed in a court of competent jurisdiction and not in arbitration.
14.10. Venue for Court Proceedings
To the extent any dispute is permitted to proceed in court, you and MFV agree that the exclusive venue shall be the state or federal courts located in Gwinnett County, Georgia, or the federal court with jurisdiction over Gwinnett County, Georgia, and you consent to the personal jurisdiction of such courts.
15. Miscellaneous
15.1. Entire Agreement
These Terms, together with any policies, guidelines, supplemental terms, and incorporated documents referenced herein, constitute the entire agreement between you and MFV regarding the Platform and supersede all prior or contemporaneous understandings, agreements, communications, and proposals relating to the same subject matter.
15.2. No Waiver
No waiver by MFV of any term, condition, or breach shall be deemed a further or continuing waiver of such term, condition, or breach or a waiver of any other term, condition, or breach. Any waiver must be in writing and signed by an authorized representative of MFV.
15.3. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
15.4. Assignment
You may not assign, delegate, or transfer these Terms or any rights or obligations under them without MFV’s prior written consent. Any attempted assignment in violation of this Section is null and void.
MFV may assign, delegate, or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, corporate reorganization, financing transaction, or operation of law.
15.5. No Third-Party Beneficiaries
Except as expressly stated in these Terms, nothing in these Terms creates any third-party beneficiary rights in any person or entity.
15.6. Force Majeure
MFV shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including without limitation acts of God, weather events, natural disasters, war, terrorism, civil unrest, labor disputes, power outages, internet or telecommunications failures, third-party service outages, payment network failures, governmental actions, epidemics, pandemics, or security incidents.
15.7. Relationship of the Parties
Nothing in these Terms creates any agency, employment, joint venture, franchise, fiduciary, partnership, or similar relationship between you and MFV.
15.8. Interpretation
Headings are for convenience only and do not affect interpretation. The words “including,” “include,” and similar terms mean “including without limitation.” These Terms shall not be construed against MFV as drafter.

MFV may provide notices to you by email, account notice, dashboard posting, SMS where permitted, or posting on the Platform, and such notice shall be deemed effective when sent or posted.
15.10. Survival
All provisions that by their nature should survive termination or expiration of these Terms shall survive, including without limitation ownership provisions, licenses, disclaimers, limitation of liability, indemnification, payment obligations, dispute resolution provisions, and miscellaneous provisions.
15.11. Mobile Application Terms
If you access or use the Platform through a mobile application made available through the Apple App Store, Google Play, or any other app distribution service, you acknowledge that these Terms are concluded between you and MFV only, and not with Apple Inc., Google LLC, or their respective affiliates, and that MFV, not Apple, Google, or their respective affiliates, is solely responsible for the mobile application and the content thereof, except as otherwise required by applicable law or the applicable app store terms.
If you access the mobile application through the Apple App Store, you acknowledge and agree that: (a) Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the mobile application; (b) to the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the mobile application; (c) MFV, and not Apple, is responsible for addressing any claims by you or any third party relating to the mobile application or your possession and use of the mobile application, including product liability claims, claims that the mobile application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws; (d) in the event of any third-party claim that the mobile application or your possession and use of the mobile application infringes a third party’s intellectual property rights, MFV, and not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim; (e) you must comply with applicable third-party terms of agreement when using the mobile application; and (f) Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the mobile application, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary thereof.
If you access the mobile application through Google Play, you acknowledge and agree that Google and its affiliates are not responsible for providing support or maintenance for the mobile application, and that you must comply with all applicable Google Play terms, policies, and rules. To the extent required by applicable Google Play terms, Google and its affiliates are intended third-party beneficiaries of these Terms as they relate to your use of the mobile application obtained through Google Play.
15.12. Electronic Records
You agree that these Terms, notices, disclosures, records, and other communications may be provided electronically and that electronic records and signatures shall have the same force and effect as paper records and handwritten signatures to the fullest extent permitted by law.
